Terms and Conditions

Paragon Shading Ltd – Terms & Conditions of Sale and Installation

These Terms and Conditions govern the supply of goods and/or services by Paragon Shading Ltd (“we”, “us”, “our”). By placing an order with us, you (“the Customer”, “you”) agree to be bound by these Terms, together with your accepted quotation or order confirmation (“the Contract”). Nothing in these Terms affects your statutory rights under UK consumer law.

1. Orders and Pre-Contract Information

1.1 We will provide clear and accurate information about our products and services prior to order, including pricing, lead times, and installation requirements.

1.2 Any samples, demonstrations, images, or descriptions are provided for illustrative purposes only. As our products are bespoke and manufactured to order, variations in appearance, colour, and finish may occur.

1.3 Quotations are valid for 30 days unless otherwise stated. Quotations do not constitute a binding offer.

1.4 A binding contract is formed once you accept our quotation in writing or sign an order confirmation.

1.5 No verbal statements, representations, or assurances form part of the Contract unless confirmed in writing by us.

2. Bespoke Goods and Manufacture

2.1 All goods supplied by us are custom-made to the Customer’s specifications and are not standard stock items.

2.2 Production is deemed to have commenced once materials are ordered, manufacturing is scheduled, or technical drawings are released to suppliers.

2.3 Due to the bespoke nature of the goods, they cannot be resold or reused once production has begun.

2.4 As the goods are made to the Customer’s specification, the right to cancel under the Consumer Contracts Regulations may be limited or lost once production has commenced. By accepting the quotation and requesting that work proceeds, the Customer agrees that manufacture may begin before the end of any applicable cooling-off period.

Where cancellation is agreed after production has commenced, we reserve the right to charge for all costs reasonably incurred up to the point of cancellation.

3. Delivery and Access

3.1 Goods may be collected from our premises or delivered to the address provided by the Customer. Delivery charges will be confirmed in advance.

3.2 The Customer is responsible for ensuring all delivery and contact details are accurate. We are not responsible for delays or losses arising from incorrect information.

3.3 Delivery dates and installation timeframes are estimates. We are not liable for delays caused by factors beyond our reasonable control, including supplier delays, weather conditions, access issues, or site readiness.

3.4 On delivery, the Customer must inspect goods for visible damage and record any issues on the delivery documentation.

3.5 Any visible transit damage must be reported to us within 48 hours of delivery. Manufacturing defects not reasonably apparent at delivery should be reported within a reasonable time after installation.

4. Installation Environment and Site Conditions

4.1 Installation is carried out onto existing structures and surfaces provided by the Customer. Walls, soffits, cladding, window frames, lintels, and sills are rarely perfectly level, square, or uniform.

4.2 The Customer acknowledges that minor gaps, tolerances, alignment variations, or visual inconsistencies may occur due to site conditions and do not constitute a defect.

4.3 We carry out a practical assessment for installation purposes only. We are not structural engineers and do not guarantee the load-bearing capacity or suitability of substrates beyond this assessment.

4.4 If installation cannot proceed safely due to site conditions, hidden services, inadequate fixing surfaces, or unforeseen obstructions, the Customer agrees to one of the following:

  • a) approve additional remedial works at additional cost;

  • b) accept the goods on a supply-only basis at an agreed price adjustment; or

  • c) approve installation in an alternative location deemed safe by the installer.

4.5 Due to the nature of shading systems and installation environments, the Customer acknowledges that:

  • a) No blind, screen, or shading system is fully airtight or completely lightproof unless explicitly specified;
  • b) Light ingress may occur at edges, guides, hems, or due to surface irregularities;
  • c) Minor gaps, fabric movement, or deflection may occur and are not considered defects;
  • d) External products may move, flex, or generate noise in windy conditions;
  • e) Fabric materials may exhibit natural characteristics including creasing, rippling, or slight variation over time.

5. Customer Obligations

5.1 The Customer is responsible for ensuring:

  • safe, clear, and unobstructed access to the installation area;

  • suitable fixing surfaces;

  • availability of electrical power where required;

  • removal of furniture, fixtures, and fragile items;

  • pets and occupants are kept clear of the work area.

5.2 Failure to meet these requirements may result in delays, aborted visits, or additional charges.

5.3 Access for Inspection, Servicing, and Warranty Work

Where products are installed in locations that require specialist access equipment (including but not limited to scaffolding, access
towers, lifting equipment, or roof access) for safe inspection, servicing, or removal, the Customer is responsible for providing such access.

Paragon Shading Ltd will not carry out installation, servicing, repair, or warranty work where safe access cannot reasonably be
achieved. Any costs associated with providing suitable access equipment are the responsibility of the Customer unless otherwise agreed in

writing.

5.4 Where products include motors, electrical components, or control systems:

  • a) The Customer is responsible for providing a suitable and stable power supply;
  • b) We are not responsible for faults arising from third-party electrical work, wiring, or integration;
  • c) Wireless or smart control systems may be subject to signal limitations, interference, or connectivity issues beyond our control;
  • d) Setup or configuration of third-party control systems or applications is provided as a convenience only and is not guaranteed to be fault-free.

6. Installation Appointments and Cancellations

6.1 Installation dates are agreed in advance and are conditional on site readiness and payment compliance.

6.2 Cancellations or rescheduling with less than 48 hours’ notice may incur a £150 charge, reflecting wasted labour time, scheduling disruption, and administrative costs.

6.3 If installation cannot proceed due to Customer-related issues (including lack of access, unsuitable surfaces, or unpaid balances), additional charges may apply for return visits.

7. Pricing and Payment

7.1 Prices are as stated in the accepted quotation and include VAT unless otherwise specified.

7.2 A deposit is required upon order confirmation. Deposit amounts vary depending on the nature of the order and may range from 50% to 100% of the total contract value.

7.3 Deposits reflect the bespoke nature of the goods, which are manufactured specifically to the Customer’s order and cannot be resold.

7.4 Any remaining balance must be paid:

  • on collection, or

  • no later than 48 hours prior to the scheduled installation date, unless otherwise agreed in writing.

7.5 Failure to pay by the due date may result in cancellation or postponement of installation.

7.6 Late payments overdue by more than 7 days may incur:

  • a £90 administration and recovery charge; and

  • statutory interest at 8% above the Bank of England base rate, calculated daily until payment is received

7.7 Ownership of all goods remains with Paragon Shading Ltd until full payment has been received in cleared funds. We reserve the right to withhold delivery, suspend installation, or recover goods where payment has not been made in accordance with these Terms.

8.Warranty (Summary Only)

8.1 Warranty terms are provided separately and do not form part of these Terms and Conditions.

8.2 Nothing in these Terms limits or excludes the Customer’s statutory rights under applicable consumer law.

9. Post-Installation Acceptance

9.1 Upon completion of installation, the Customer or their representative will be given the opportunity to inspect the works.

9.2 The Customer must notify us of any concerns within a reasonable time following installation. Continued use of the goods does not affect the Customer’s statutory rights but may be taken into account when assessing any claim.

10. Termination by the Company

10.1 We may terminate the Contract by written notice if the Customer:

  • fails to make payment when due and does not remedy this within 10 days of notice; or

  • fails to provide required information or access within a reasonable time.

10.2 Where termination occurs after production has commenced, payments already made reflect costs incurred and work undertaken and are non-refundable.

11. Scope of Works and Third Parties

11.1 Our scope is limited strictly to the supply and installation of shading products as described in the accepted quotation.

11.2 We are not responsible for building works, structural alterations, electrical upgrades, plastering, decorating, or making good unless expressly agreed in writing.

11.3 Any works carried out by third parties before, during, or after installation remain the responsibility of the Customer.

11.4 Unless expressly agreed in writing, our scope does not include making good, redecorating, plastering, or finishing works following installation. Where installation requires cutting, drilling, or modification of existing structures (including soffits, plaster, render, or cladding), a perfect cosmetic finish cannot be guaranteed and may require further works by others.

11.5 Any changes requested by the Customer after order confirmation may:

  • a) incur additional costs;
  • b) affect lead times; and
  • c) require revised approval before proceeding.

12. Limitation of Liability

12.1 Our total liability in connection with any claim arising under the Contract shall not exceed the total amount paid by the Customer for the goods or services in question.

12.2 We shall not be liable for indirect or consequential losses, including loss of profit, business interruption, or loss of use.

12.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under law.

12.4 External products are subject to environmental conditions including wind, rain, UV exposure, and airborne contaminants.

We are not responsible for deterioration, corrosion, or damage caused by:

  • a) extreme weather conditions or use outside recommended limits;
  • b) coastal or high-salt environments;
  • c) debris, impact, or misuse;
  • d) lack of maintenance or failure to follow care instructions.

13. Planning and Regulations

13.1 The Customer is solely responsible for ensuring compliance with all applicable planning, building control, and regulatory requirements, including (where applicable) listed building consent and conservation area approvals.

15. Privacy

15.1 Personal data is processed in accordance with our Privacy Policy, available on our website.

16. Amendments

16.1 We reserve the right to amend these Terms and Conditions at any time. Updated terms apply only to orders placed after the revision date.

17. Governing Law

17.1 These Terms and Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
